Terms of Service

Account Creation

To use the Service, you must create an account by providing:

• A valid email address
• Your full name
• A secure password

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Securing your API keys and preventing unauthorized access

We are not liable for any loss or damage arising from your failure to protect your account credentials.

What We Provide

ExportForge provides an API service that:

• Accepts JSON data uploads in chunks via REST API
• Generates downloadable files in various formats (CSV, Excel, TSV, XML, JSON)
• Temporarily stores data during processing
• Provides secure download links for generated files
• Automatically deletes data after the retention period

Service Availability

We strive to provide 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance
• Factors beyond our control (internet outages, natural disasters, etc.)
• Security incidents requiring service interruption

Permitted Uses

You may use the Service to:

• Generate export files from your own data
• Integrate our API into your applications
• Provide export functionality to your users
• Automate export generation for legitimate business purposes

Prohibited Uses

You may NOT use the Service to:

• Violate Laws: Engage in any illegal activity or violate any applicable laws or regulations
• Infringe Rights: Infringe upon intellectual property rights, privacy rights, or other rights of third parties
• Distribute Malware: Upload, transmit, or distribute viruses, malware, or other malicious code
• Abuse the Service: Attempt to circumvent rate limits, usage restrictions, or security measures
• Unauthorized Access: Access another user's account or data without authorization
• Reverse Engineering: Reverse engineer, decompile, or disassemble any portion of the Service
• Scraping: Use automated means to scrape or collect data from the Service beyond API usage
• Reselling: Resell or redistribute the Service without our written permission
• Competitive Analysis: Use the Service to build a competitive product or service
• Overload Systems: Intentionally overload our infrastructure or interfere with Service operation
• Illegal Content: Process data that is illegal, harmful, threatening, abusive, defamatory, or obscene
• Prohibited Data: Process data containing:
  • Child sexual abuse material (CSAM)
  • Content promoting terrorism or violent extremism
  • Personal data obtained illegally or without proper consent
  • Protected health information (PHI) without a Business Associate Agreement

Your Responsibility

You are solely responsible for:

• All data you upload to the Service ("User Content")
• Ensuring you have the right to use and process the data
• Complying with all applicable data protection laws (GDPR, CCPA, etc.)
• Obtaining necessary consents from data subjects
• The accuracy and legality of your User Content

License to Process

By uploading User Content, you grant ExportForge a limited, non-exclusive, worldwide license to process your data solely for the purpose of providing the Service. This license terminates when your data is deleted in accordance with our retention policies.

Data Deletion

As described in our Privacy Policy:

• All User Content is automatically deleted after the predefined retention period
• You may manually delete exports at any time before expiration
• We do not create backups of User Content after the retention period
• Deleted data cannot be recovered

Pricing

Current pricing is available at https://www.exportforge.com/pricing. We offer:

• Free tier with limited usage
• Monthly and annual paid subscriptions
• Custom enterprise pricing

We reserve the right to change pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

Billing

For paid plans:

• Fees are billed in advance on a monthly or annual basis
• Payment is processed automatically through our payment provider
• You must provide valid payment information and keep it current
• Charges are non-refundable except as required by law or as stated in these Terms
• You authorize us to charge your payment method for all fees incurred

Payment Failures

If payment fails:

• We will attempt to process payment again
• Your account may be suspended after 3 failed payment attempts
• You remain responsible for any unpaid fees
• We may charge fees for failed payments or collections

Taxes

All fees are exclusive of taxes. You are responsible for all sales, use, value-added, and similar taxes. If we are required to collect such taxes, they will be added to your invoice.

Refunds

Generally, all fees are non-refundable. However:

• We may provide refunds at our sole discretion for billing errors
• If we terminate your account for our convenience, we will refund any prepaid, unused fees
• Annual subscriptions may be eligible for pro-rated refunds within 30 days if cancelled before any usage

Our Intellectual Property

ExportForge and its licensors own all rights, title, and interest in:

• The Service and all software, technology, and processes
• Our trademarks, logos, and branding
• All documentation, APIs, and materials we provide
• All improvements and modifications to the Service

These Terms do not grant you any ownership rights to our intellectual property. You may not copy, modify, distribute, or create derivative works based on our Service.

Your Intellectual Property

You retain all ownership rights to your User Content. We claim no ownership over your data. Our license to process your data is limited to providing the Service and terminates upon data deletion.

Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your dashboard
• Contacting us at support@exportforge.com

Upon termination, your access to the Service will end immediately, and all your data will be permanently deleted. You remain responsible for any fees incurred before termination.

Termination by Us

We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• You violate our Acceptable Use Policy
• Your payment fails or your account is past due
• We suspect fraudulent, abusive, or illegal activity
• Required by law or court order
• We discontinue the Service (with 30 days' notice)

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPORTFORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

This includes damages arising from:

• Use or inability to use the Service
• Data loss or corruption
• Unauthorized access to your account or data
• Service interruptions or delays
• Third-party actions or content
• Any other matter relating to the Service

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Informal Resolution

If you have a dispute with us, you agree to first contact us at legal@exportforge.com and attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Binding Arbitration

If we cannot resolve a dispute informally within 60 days, you agree that any dispute will be resolved through binding arbitration rather than in court, except that:

• You may bring claims in small claims court if they qualify
• Either party may seek injunctive relief in court for intellectual property infringement

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in [City, State], or another mutually agreed location.

You and ExportForge agree that arbitration will be conducted on an individual basis. CLASS ACTIONS, CLASS ARBITRATIONS, AND REPRESENTATIVE ACTIONS ARE NOT PERMITTED.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ExportForge regarding the Service.

Modifications

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect, and an enforceable term will be substituted reflecting our intent as closely as possible.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction, including in connection with a merger or sale of assets.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.

Export Controls

The Service is subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations. You may not use the Service if you are located in a country embargoed by the United States or if you are on any U.S. government list of prohibited parties.
